These Terms and Conditions ("Terms") govern access to and use of the Service provided by Flowtor.

1. Interpretation and Definitions

Interpretation

Capitalized terms have the meanings set out below and apply whether used in singular or plural form.

Definitions

• Flowtor refers to Flowtor, the provider of the Service.
• Customer refers to the individual or legal entity accessing or using the Service.
• Service refers to the Flowtor website, platform, software, tools, and related services.
• Website refers to Flowtor's official website.
• Subscription refers to any paid or free plan offered by Flowtor.
• Customer Data refers to any data, documents, files, or information submitted to or processed through the Service by or on behalf of the Customer.
• Custom Services refers to any custom-developed solutions, applications, automations, configurations, integrations, templates, or consulting services provided by Flowtor.

2. Acceptance of Terms

By accessing or using the Service, the Customer confirms that it has read, understood, and agrees to be bound by these Terms.

If the Customer does not agree to these Terms, the Customer must not access or use the Service.

3. Description of the Service

Flowtor provides digital tools, automation solutions, operational coordination, and advisory services related to logistics, operations, and order management processes.

The Service may include software features, system integrations, templates, automation workflows, documentation support, reporting tools, and advisory or operational coordination services. The specific features available depend on the Customer's selected Subscription or individual agreement.

Operational coordination services may include support for communication and coordination with vendors, suppliers, factories, carriers, customs brokers, and other third-party logistics service providers.

Flowtor does not act as a carrier, freight forwarder, customs broker, non-vessel operating common carrier (NVOCC), or transport operator, and does not assume responsibility for the physical transportation, custody, delivery, or customs clearance of goods.

All transportation and logistics services are provided exclusively by third-party providers. Any transport, freight, or customs-related contracts are entered into directly between the Customer and such third-party providers.

4. Custom Solutions and Consulting Services

Where Flowtor provides Custom Services, such services are delivered strictly in accordance with the scope, requirements, and deliverables expressly agreed between Flowtor and the Customer, as documented in a proposal, statement of work, project description, or other written agreement.

Flowtor's responsibility is limited solely to the delivery of the expressly agreed Custom Services within the defined scope.

Unless expressly agreed in writing:

• Flowtor does not guarantee any specific business, operational, financial, or commercial outcomes resulting from the use of Custom Services.
• Flowtor is not responsible for how Custom Services are used, modified, relied upon, or extended by the Customer after delivery.
• Flowtor is not responsible for issues arising from changes to the Customer's systems, data, processes, users, or third-party services following delivery.

The Customer acknowledges that all business decisions, operational use, compliance obligations, and risks arising from the use of Custom Services remain solely the responsibility of the Customer.

5. Accounts and Access

Where account access is required, Flowtor grants the Customer a limited, non-transferable right to access the Service during the term of the applicable Subscription.

The Customer is responsible for maintaining the confidentiality of its account credentials and for all activities carried out through its account.

Flowtor is not liable for unauthorized access resulting from the Customer's failure to safeguard its credentials.

6. Subscriptions and Payments

Access to certain parts of the Service requires a paid Subscription.

Subscription fees:

• are billed in advance on a recurring basis unless otherwise agreed in writing;
• exclude applicable taxes, duties, or levies; and
• are non-refundable except where required by applicable law.

Flowtor reserves the right to modify pricing with reasonable prior notice. Failure by the Customer to make timely payments may result in suspension or termination of access to the Service.

7. Customer Data

Ownership of Customer Data remains with the Customer.

The Customer grants Flowtor a limited, non-exclusive right to process Customer Data solely for the purposes of:

• providing the Service;
• maintaining and supporting the Service; and
• improving the Service.

The Customer is solely responsible for ensuring that it holds all necessary rights and permissions to submit and process Customer Data and that such data complies with applicable laws and regulations.

Flowtor does not independently verify the accuracy or legality of Customer Data.

8. Intellectual Property

All intellectual property rights in and to the Service, including software, workflows, automation logic, documentation, branding, and content, are owned by Flowtor or its licensors.

Except as expressly permitted under these Terms, the Customer may not copy, modify, distribute, reverse engineer, or otherwise exploit the Service without Flowtor's prior written consent.

9. Acceptable Use

The Customer shall not use the Service to:

• engage in unlawful, fraudulent, or misleading activities;
• attempt to gain unauthorized access to systems or data;
• interfere with the security, integrity, or performance of the Service; or
• process data for which the Customer lacks legal authority.

Flowtor may suspend or terminate access in the event of violations of this section.

10. Third-Party Services

The Service may integrate with or reference third-party services, platforms, or tools.

Flowtor does not control and is not responsible for third-party services, including their availability, security, or data practices. Use of third-party services is governed solely by the applicable third-party terms.

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, Flowtor disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Flowtor does not warrant that:

• the Service will be uninterrupted or error-free; or
• the use of automation, coordination, advisory services, or Custom Services will result in specific operational or commercial outcomes.

This disclaimer applies equally to standard Services and any Custom Services provided by Flowtor.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Flowtor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or operational losses.

Without limiting the foregoing, Flowtor shall not be liable for any claims arising from or related to Custom Services, except to the extent such claims result directly from Flowtor's failure to deliver the expressly agreed scope of work.

Flowtor's aggregate liability arising out of or relating to the Service shall not exceed the total fees paid by the Customer to Flowtor during the twelve (12) months preceding the event giving rise to the claim.

13. Termination

Flowtor may suspend or terminate the Customer's access to the Service with immediate effect if the Customer breaches these Terms.

Upon termination:

• the Customer's right to use the Service shall cease; and
• access to Customer Data may be limited or removed in accordance with applicable law and Flowtor's data retention policies.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Hong Kong SAR, without regard to conflict-of-law principles.

Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

15. Changes to These Terms

Flowtor reserves the right to amend these Terms at any time. Material changes will be communicated with reasonable notice.

Continued use of the Service after such changes take effect constitutes acceptance of the revised Terms.
